These Terms and Conditions govern all commissions placed with Commission It Limited (“CommissionIt”, “we”, “us”) and the participation of clients, artists, makers, designers, fabricators and other suppliers. By commissioning work through our website, accepting an introduction, supplying work for a CommissionIt project or otherwise engaging our services, you agree to be bound by these Terms.
1. Contracting Party
All client commissions are contracted directly with Commission It Limited. We act as the client’s commissioning partner and accept responsibility for delivery of the commissioned work. While we may subcontract work to independent artists, makers, craftspeople, designers, fabricators or other suppliers (“Makers”), the client’s agreement and payment obligations are with us.
2. Nature of the Work
Each commission is bespoke and made to order to the client’s individual specifications. Because of this, the statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may not apply once work has begun, provided the client has expressly agreed for us to start and acknowledged that the cancellation right will be lost.
If a client wishes to cancel before work has begun, they should contact us immediately. We may agree to cancellation and refund of sums paid, less any reasonable preparatory costs already incurred.
3. Payments
Payments are collected securely through our authorised payment partners or by bank transfer. By placing a commission, the client authorises us to take payments in accordance with the agreed schedule.
For commissions involving milestones, payments may be split into stages, including an initial deposit, progress payments linked to agreed milestones and a final balance before delivery. Funds are held by us and released to Makers in accordance with the agreed project arrangements.
4. Approvals and Revisions
We may provide progress updates and images at key stages. The number and scope of revisions will be stated in the commission agreement, proposal or order confirmation. Additional changes may affect the price and timetable.
5. Delivery
We will arrange delivery in accordance with the agreed project terms. Risk in the commissioned work passes to the client on delivery, unless otherwise agreed in writing.
Delivery dates are estimates and may vary because of the complexity of the work, material availability, illness, transport or other factors outside reasonable control.
6. Liability
We accept responsibility for delivering the commission to the agreed specification and timetable, subject to reasonable extensions for matters outside our control.
Our liability is limited to the total amount paid for the commission. We are not liable for indirect or consequential loss, including loss of profit, goodwill or business opportunity. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or applicable consumer rights.
7. Disputes
If a client or Maker is dissatisfied, they must notify us promptly and provide relevant evidence. We will seek a practical resolution and may consider revisions, replacement, partial refund or another appropriate outcome. 8. Independent Makers
Makers are independent contractors. Nothing in these Terms creates employment, partnership, joint venture or a general agency relationship between CommissionIt and a Maker. Makers remain responsible for their own tax, insurance, licences, professional obligations and compliance with applicable law unless otherwise agreed in writing.
Makers act as our subcontractors for the relevant commission and do not replace CommissionIt as the client’s contracting party. We remain accountable to the client for the overall management and delivery of the commission.
9. CommissionIt Client Relationships
CommissionIt owns and manages the commercial relationship with clients introduced to a Maker through CommissionIt. A Maker must not directly or indirectly encourage a CommissionIt client to move existing or future work outside CommissionIt, accept future commissioned work from that client outside CommissionIt, or otherwise bypass CommissionIt without our prior written consent.
If a CommissionIt client contacts a Maker directly about future work, the Maker must refer the enquiry back to CommissionIt unless we give written permission for another arrangement.
10. Permitted Client Communication
A Maker may communicate directly with a client only where reasonably necessary to complete the agreed commission, including discussing creative requirements, obtaining approvals, arranging access, delivery or installation.
A Maker must not use direct contact to market unrelated services, seek future work, invite the client to contract outside CommissionIt, or provide personal contact details, website details or social media details for the purpose of bypassing CommissionIt.
11. Customer Information
Customer information shared with a Maker is provided solely for completing the relevant commission. It must not be used for marketing, added to mailing lists, retained longer than reasonably necessary, disclosed to third parties or used for any unrelated purpose. Makers must take appropriate steps to protect customer information and comply with applicable data protection law.
12. Confidentiality
Clients and Makers must keep confidential any non public information received through a commission, including customer information, quotations, supplier pricing, commercial terms, project documents, internal processes and other information that a reasonable person would understand to be confidential.
13. Intellectual Property
Unless otherwise agreed in writing, the Maker or other relevant creator retains copyright and other intellectual property rights in the commissioned work. The client receives the rights stated in the project agreement. Where no separate rights are stated, the client receives a personal licence to possess and display the commissioned work for non commercial purposes. Commercial reproduction, adaptation or exploitation requires prior written agreement.
The Maker remains free to display their own work in a portfolio unless confidentiality or another written restriction applies.
14. Project Material and CommissionIt Licence
“Project Material” means photographs, reference images, source images, drawings, designs, samples, text, audio, video, concepts, mock ups, progress images, production images, completed work, project descriptions, testimonials and other material supplied or created in connection with a commission.
Each client and Maker who supplies or creates Project Material grants CommissionIt a perpetual, worldwide, non exclusive, royalty free licence to store, reproduce, display, publish, communicate, crop, resize, caption, adapt for format and otherwise use that Project Material for legitimate CommissionIt business purposes.
Permitted uses include CommissionIt.co.uk, CommissionIt.com, future CommissionIt websites, applications and AI assisted services, social media, email campaigns, portfolios, case studies, advertising, presentations, exhibitions, press, editorial and educational material, search optimisation and CommissionIt’s internal matching and recommendation systems.
This licence does not transfer copyright ownership. The person supplying Project Material confirms that they own it or have the authority needed to supply it and grant these rights. Any copyright restriction, confidentiality obligation or third party privacy right must be disclosed before the material is supplied or work begins.
CommissionIt will not knowingly publish material where confidentiality has been agreed in writing. We may remove names or identifying details and may require additional permission before using material involving children, sensitive personal information or particularly private matters. Credit will be given where reasonably practical.
15. Project Data and AI Assisted Processing
“Project Data” may include project descriptions, prompts, instructions, specifications, budgets, dimensions, photographs, reference images, sketches, documents, video, voice recordings, messages, approvals, revisions, quotations, progress updates, feedback, reviews and technical or usage metadata.
CommissionIt may collect, store and process Project Data to deliver and administer commissions, match clients with suitable Makers, support quotations and recommendations, manage projects, provide customer support, undertake quality assurance, prevent fraud, resolve disputes, improve search and recommendation systems, develop and improve internal AI assisted tools, perform analytics and reporting, develop services and market completed commissions where the relevant permissions exist.
Personal data will be processed in accordance with our Privacy Policy and applicable data protection law. Where appropriate, Project Data may be anonymised or aggregated for analysis, service improvement and product development.
16. Platform Rights
The licence granted to CommissionIt applies across current and future CommissionIt websites, applications, AI services, social channels, promotional materials and appropriate partner marketing. Personal information remains subject to the Privacy Policy and applicable law.
17. Breach and Termination
Where a Maker breaches these Terms, CommissionIt may suspend or remove the Maker, terminate the supplier relationship, withhold future introductions and seek recovery of reasonably foreseeable losses caused by the breach. Nothing in this section limits any other legal remedy available to CommissionIt.
18. Continuing Obligations
Provisions concerning confidentiality, intellectual property, licences, customer relationships, non circumvention, data protection, Project Data, limitation of liability, dispute resolution and governing law continue after completion or termination where their nature requires them to continue.
19. Commissioning Contracts
Any project specific commissioning contract, proposal or order confirmation forms part of and is governed by these Terms. If there is a conflict, the expressly agreed project specific wording takes priority for that commission.
20. Gift Certificates and Commission Edition Certificates
CommissionIt gift certificates and Commission Edition gift certificates are valid for 12 months from the date of purchase unless a different period is expressly stated at the time of purchase.
The expiry date will be shown in the order confirmation, certificate or accompanying email. The recipient must contact CommissionIt and formally begin an eligible commission before the expiry date. The commission does not need to be completed before that date.
A certificate that has not been used before its expiry date becomes invalid and any remaining value will normally be lost. CommissionIt may extend an expiry date where there are exceptional circumstances, but any extension is discretionary and must be agreed in writing before or shortly after expiry.
Gift certificates may be used only towards eligible CommissionIt commissions. They cannot be exchanged for cash, resold, used to purchase another certificate or combined with another promotion unless CommissionIt agrees otherwise.
Where a project costs more than the certificate value, the recipient may pay the difference. For flexible value certificates, any unused balance remains available under the same certificate until the original expiry date.
Commission Edition certificates cover only the specification shown on the relevant product page. Changes to the size, number of subjects, medium, framing, delivery or other included scope may require an additional payment.
The featured artist is subject to availability. CommissionIt may appoint a suitably experienced artist working in a similar style. Framing is excluded unless the product page expressly states that it is included.
Certificates are non refundable after the applicable cancellation period, except where required by law. Nothing in these Terms affects the purchaser’s statutory rights.
If CommissionIt is unable to provide an eligible commission after the recipient contacted us before expiry, the certificate will remain valid until CommissionIt can fulfil the commission or another appropriate remedy is agreed.
21. CommissionIt Group Funds
CommissionIt Group Funds are offered as a limited private beta. Applications are reviewed individually and CommissionIt does not guarantee that a proposed campaign will be accepted or published.
A Group Fund allows an organiser to invite contributions towards a bespoke artwork or creative project managed by CommissionIt. It is not a bank account, savings product, investment, general purpose collection service or unrestricted money transfer service.
The organiser must provide accurate campaign information, have permission to provide the recipient’s details and must not make misleading, unlawful or unauthorised statements. CommissionIt may refuse, pause or remove a campaign where necessary to protect contributors, recipients, CommissionIt or the integrity of the service.
Contributions are processed through the payment methods available at checkout. The displayed campaign total may show gross contributions. Payment processing fees, refunds, disputes, chargebacks and reversals reduce the verified net balance.
The verified net balance can be used only towards an eligible bespoke artwork or creative project managed by CommissionIt. It cannot be withdrawn, transferred, divided, resold or exchanged as money.
A contribution does not guarantee that a campaign target will be reached, that a particular artist or maker will be available, or that a particular commission will proceed. Contributors do not acquire ownership of a specific work or control over the final creative brief.
Refund requests must be made promptly. Any refund is subject to applicable consumer law, the campaign circumstances, the payment provider’s processes and these Terms. Where a refund is approved, it will normally be returned to the original payment method. Payment processing fees may not be recoverable and may reduce the remaining campaign balance.
After a campaign ends, CommissionIt stops new contributions, reconciles the financial ledger and may retain a reasonable review period for refunds, disputes, chargebacks or reversals.
The intended recipient must complete proportionate identity and eligibility checks before the commission can proceed. Identity documents must be supplied only through the secure route requested by CommissionIt.
CommissionIt works with the verified recipient to agree a suitable creative brief within the verified net balance. The recipient may add their own funds through the normal CommissionIt commission process if the agreed project costs more than the available balance.
Artist or maker availability, final scope, timescale, price, delivery and approvals remain subject to a separate CommissionIt commission agreement.
If a campaign cannot proceed, CommissionIt may pause or cancel it and handle contributor refunds in accordance with the circumstances, payment provider rules and these Terms.
A dispute, chargeback, refund or reversal may pause campaign review or commission approval and may reduce the amount available. CommissionIt may correct an earlier manual record where supported by evidence, but will not silently change the immutable contribution ledger.
Personal information is handled under the CommissionIt Privacy Notice and is collected only where reasonably required to administer the campaign, verify the recipient, prevent fraud and manage the commission.
Campaign specific information forms part of these Terms. If campaign information conflicts with these Terms, these Terms take priority unless CommissionIt has expressly agreed a different position in writing. Nothing in this section limits rights provided by applicable consumer law.
22. Changes to These Terms
We may update these Terms from time to time. Updated Terms apply to commissions entered into after publication and to later use of our services where the updated Terms have been brought to the relevant person’s attention and accepted. They do not retrospectively alter a previously signed agreement unless the parties agree in writing.
23. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute will be subject to the jurisdiction of the courts of England and Wales, except where applicable consumer law gives a consumer the right to bring proceedings elsewhere.
